Terms of Service

These Terms of Service (“Terms”) govern access to and use of the MedicalAgentOS platform by the healthcare organization that registers a workspace (“Customer”) and its authorized users.
1. The Service
MedicalAgentOS provides a multi-tenant AI workforce operating system: coordinated AI agents that perform administrative, operational, patient-engagement, documentation-support, revenue-cycle, and care-continuity work under the Customer's configuration and supervision.
2. Not medical advice; human oversight required
The Service does not provide medical advice, diagnosis, or treatment, and is not a substitute for the professional judgment of licensed clinicians. AI-generated outputs — including notes, codes, summaries, and message drafts — are drafts or suggestions that require review and approval by authorized personnel before clinical, legal, or billing use. The Customer is solely responsible for all clinical decisions and for configuring autonomy levels appropriately.
3. Accounts and responsibilities
- Customer must ensure users are authorized and credentials are protected.
- Customer must obtain all necessary patient consents for communications and recordings.
- Customer may not use the Service to violate law, including HIPAA, TCPA, and state privacy laws.
4. Fees and payment
Subscriptions are billed in advance per the selected plan through Paddle, our reseller and Merchant of Record, which processes payment and handles applicable sales tax and invoicing. Usage-based charges (voice minutes, SMS, transcription) are billed monthly in arrears. Fees are non-refundable except as required by law. Customer may cancel at any time, effective at the end of the current billing period.
5. Data
Customer retains all rights to its data. Where the Service processes PHI, the parties' Business Associate Agreement applies and controls over these Terms in the event of conflict.
6. Warranties and disclaimers
THE SERVICE IS PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE. AI OUTPUTS MAY CONTAIN ERRORS; CUSTOMER MUST MAINTAIN HUMAN REVIEW PROCESSES FOR CLINICAL, CODING, AND BILLING DECISIONS.
7. Limitation of liability
To the maximum extent permitted by law, neither party's aggregate liability will exceed the fees paid in the twelve months preceding the claim, and neither party is liable for indirect or consequential damages.
8. Termination
Either party may terminate for material breach not cured within 30 days of notice. Upon termination we will return or delete Customer data per the BAA and our retention schedule.
9. Governing law
These Terms are governed by the laws of the State of Texas, USA, excluding conflict-of-law rules.
